Acceptance of terms
These Terms and Conditions ("Terms") govern your access to and use of the websites, web applications, SaaS products, and related services (together, "Services") operated by SF Web Solutions Private Limited ("SF Web Solutions", "we", "us", or "our"), including the site at sfwebsolutions.in and any associated domains.
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services. For specific projects, we may enter into separate service agreements, statements of work, or NDAs that supplement or override these Terms for that engagement; in case of conflict, the project-specific agreement will prevail for that engagement.
Eligibility and user responsibilities
You must be at least 18 years of age and have the legal capacity to enter into a binding contract under the Indian Contract Act 1872 (or the laws of your jurisdiction) to use our Services. By using our Services, you represent that you meet these requirements.
You are responsible for:
- Providing accurate and complete information when registering, requesting quotes, or communicating with us.
- Keeping your account credentials (where applicable) confidential and notifying us immediately of any unauthorised access.
- Using the Services only for lawful purposes and in accordance with these Terms and applicable law.
Services description
SF Web Solutions Private Limited provides web development, website maintenance and support, custom software development, SaaS products, digital marketing, and related consulting and support. The specific scope, features, and deliverables for any engagement are set out in the relevant quote, statement of work, or product documentation.
We reserve the right to modify, suspend, or discontinue any part of our Services (including features of our SaaS products) with reasonable notice where practicable. We do not guarantee that any particular feature or product will remain available indefinitely. Your continued use after changes constitutes acceptance of the modified Services to the extent permitted by law.
Account registration and security
Where our Services require account registration (e.g. for SaaS products or client portals), you must provide accurate information and keep your login details secure. You are responsible for all activity under your account. You must notify us promptly if you suspect unauthorised access or any breach of security.
We may suspend or terminate accounts that we reasonably believe have been compromised or used in violation of these Terms, without prejudice to any other rights we may have.
Intellectual property
All intellectual property rights in our websites, code, designs, branding, templates, documentation, and other materials created or provided by us (other than content you provide) remain the sole property of SF Web Solutions Private Limited or our licensors. You receive only a limited, non-exclusive, non-transferable licence to access and use our Services for their intended purpose in accordance with these Terms.
You must not:
- Copy, modify, reverse-engineer, or create derivative works from our software, designs, or materials.
- Resell, sublicense, or commercially exploit our Services or materials except as expressly agreed in a separate contract.
- Remove or alter any copyright, trademark, or other proprietary notices.
For custom development projects, ownership of deliverables will be as set out in the relevant project agreement; in the absence of such agreement, pre-existing IP and our tools and methodologies remain ours, and custom deliverables may be assigned or licensed as agreed in writing.
Client content and licenses
You retain ownership of content you provide to us (e.g. text, images, data, branding) ("Client Content"). By providing Client Content, you grant us a non-exclusive, royalty-free licence to use, reproduce, modify (to the extent necessary to perform the Services), and display such content solely for the purpose of providing the Services to you and for related internal purposes (e.g. backups, improving our services). You represent that you have the right to grant this licence and that Client Content does not infringe any third-party rights.
We will handle Client Content in accordance with our Privacy Policy and any applicable data processing terms. We are not responsible for the accuracy or legality of Client Content you provide.
Payments, fees, and taxes
Fees for our Services are as set out in the applicable quote, contract, or product pricing. You agree to pay all amounts due in the currency and within the timeframes specified. Late payment may result in interest (where permitted by law) and suspension or termination of Services. We may change pricing for recurring or subscription services with reasonable notice.
All fees are exclusive of applicable taxes (e.g. GST); you are responsible for any taxes imposed on you. Refunds are provided only where required by law or as expressly agreed in a separate contract. Unless otherwise agreed, fees paid are non-refundable once work has commenced or access has been provided.
Prohibited activities
You must not use our Services to:
- Violate any applicable law, including the Information Technology Act 2000 and rules thereunder, or encourage illegal activity.
- Infringe any intellectual property, privacy, or other rights of others.
- Transmit malware, attempt unauthorised access, or interfere with the security or operation of our or others' systems.
- Send spam, unsolicited communications, or engage in misleading or deceptive practices.
- Use the Services in any way that could harm, disable, or overburden our infrastructure or affect other users.
We reserve the right to suspend or terminate access and to report illegal activity to the relevant authorities. Such actions are without prejudice to our other rights under these Terms or at law.
Third-party services and links
Our Services may integrate with or link to third-party services (e.g. payment gateways, analytics, embedded content). We do not control and are not responsible for third-party terms, privacy practices, or content. Your use of such services is at your own risk and subject to their respective terms and policies. We encourage you to review those terms and privacy policies before using any third-party service.
Disclaimers and limitation of liability
Disclaimer. Our Services are provided "as is" and "as available". To the maximum extent permitted by applicable law (including the Indian Contract Act 1872 and the Consumer Protection Act 2019 where applicable), we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
Limitation of liability. To the fullest extent permitted by law, SF Web Solutions Private Limited and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or goodwill) arising out of or in connection with your use of the Services, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claims arising out of or related to these Terms or the Services shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) INR 50,000 (Indian Rupees Fifty Thousand). These limitations apply regardless of the theory of liability (contract, tort, negligence, or otherwise) and will apply to the maximum extent permitted by law. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.
Indemnity
You agree to indemnify, defend, and hold harmless SF Web Solutions Private Limited and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Services, (b) your breach of these Terms, (c) your violation of any law or third-party rights, (d) your Client Content, or (e) any dispute between you and a third party in connection with the Services. We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, at your expense.
Termination
We may suspend or terminate your access to the Services, or any part thereof, at any time without notice if we reasonably believe you have breached these Terms, engaged in prohibited activities, failed to pay amounts due, or for operational or legal reasons. You may stop using the Services at any time; termination of a contract may be subject to the terms of the relevant project agreement.
Upon termination, your right to use the Services ceases. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive termination.
Governing law and dispute resolution
These Terms are governed by the laws of India, without regard to conflict of laws principles. The courts at Hyderabad, Telangana, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, except where mandatory consumer protection laws in your jurisdiction require otherwise. You agree to submit to the personal jurisdiction of such courts. Nothing in these Terms prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction.
Changes to terms
We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Where changes are material, we may notify you by email or a prominent notice on our website. Your continued use of the Services after the effective date of the changes constitutes acceptance of the revised Terms to the extent permitted by law. If you do not agree, you must stop using the Services. For existing contracts, the terms in effect at the time of the contract will govern that engagement unless we agree otherwise in writing.
